Rights issue 2020

Summary of the rights issue

For each existing share held on the record date of May 29, 2020, the holder receives one (1) unit right. Twenty-one (21) unit rights entitle the holder to subscribe for five (5) units and each unit consists of three (3) shares and one (1) warrant of series 2020/2021 TO4.

• The subscription period runs from June 2, 2020 to June 16, 2020.
• The subscription price per unit is SEK 16.50, which corresponds to SEK 5.50 per share.
• Warrants of series 2020/2021 TO4 are issued free of charge.
• Each warrant of series 2020/2021 TO4 entitles the holder to subscribe for one (1) new share in the Company during the period February 15, 2021 up to and including March 14, 2021 at a subscription price of SEK 8.25.
• The Company will initially receive a maximum of approximately SEK 48.5 million before issue costs upon full subscription in the Rights Issue and an additional maximum of SEK 24.3 million before issue costs if all warrants issued in the Rights Issue are fully exercised.
• The Company intends to apply for admission to trading of the warrants series 2020/2021 TO4 on Nasdaq First North Premier Growth Market.
• A prospectus in connection with the Rights Issue is expected to be published by the Company around May 29, 2020.
• The Company has received subscription commitments of approximately SEK 2.5 million (corresponding to approximately 5.2 percent of the Rights Issue). The Company has also received guarantee commitments from a guarantee consortium, consisting of qualified investors, of approximately SEK 36.3 million (corresponding to approximately 74.8 percent of the Rights Issue). The Rights Issue is thus guaranteed up to approximately 80 percent of the initial issue volume.
